Frequently asked questions

Tokenizing real estate means turning real estate-related rights into digital tokens. Each token represents a part of the property and the rights associated with it. This makes it possible to divide the value of a property into smaller units that are easier to trade, which gives more people access to real estate investments. We can tokenize the right to use a property or the right to profit from the operational activities carried out in the property. The person or group issuing the tokens can also transfer ownership to token buyers, as long as there are some terms in place.

The main benefits include: • Increased investment liquidity • Lower entry threshold for investors • Global access to the real estate market • Transaction transparency • Automation of management and profit distribution processes • Possibility to partially sell the property

There are different ways to tokenize real estate and depending on the criterion, we can divide them into those carried out with:

- the participation of a trusted third party entered in the land register (e.g. a TRUST or SPV).

- with the participation of all original token purchasers by entering them in the land register on the basis of fractional co-ownership.

Depending on the type of tokenized right, we can also distinguish tokenization of:

- ownership of real estate

- possession of real estate

- right to collect benefits

The tokenization process usually involves the following stages:

  1. Valuation of the property.

  2. Issuing tokens representing shares in the property.

  3. Distributing tokens among investors.

  4. Acquiring ownership of the property directly by investors holding tokens or a trustee (trusted third party) appointed for this purpose.

  5. Selecting a property operator or manager.

  6. Managing the property and distributing profits through smart contracts.

Different types of properties can be tokenized. So far, typical commercial properties have been successfully tokenized, including:

  • Residential properties (rental houses and apartments)

  • Business properties (offices, shopping centers)

  • Industrial properties (warehouses, factories)

  • Hotels and tourist facilities

No. With direct tokenization - i.e. by entering all original token purchasers in section two as co-owners on the basis of fractional co-ownership - the mere transfer of tokens between investors does not constitute a transfer of ownership and cannot be the basis for a change in the entry in the land register. A visit to a notary office will be required to fully transfer the ownership right.

Establishing management principles: Already at the tokenization stage (in the prospectus, white paper or investment agreement), it is determined who will manage the property, how decisions will be made and how profits and costs will be reported.

Ongoing responsibilities: The manager (company or individual) is responsible for, among other things:

    • rental management,

    • technical maintenance of the building,

    • payment of bills (utilities, insurance, property taxes),

    • accounting to investors, including the payment of dividends or rental income.

Transparency: Since most tokenization projects are based on blockchain, investors can easily track their shares (tokens) and check the financial results online. Some projects also provide management panels that show all costs and revenues related to the property.

Voting and strategic decisions: If voting is provided for (DAO or standard model with shareholder voting), investors have an influence on, for example:

    • the selection of a new manager,

    • setting the rent,

    • decisions on modernization and renovation,

    • possible sale of the property or refinancing of loans

    • the timing and amount of operating profits paid out
